Website: https://klingdigital.com
Email: support@klingdigital.com
BUYER: The corporate entity or individual placing an order or commissioning digital services through the portal ("Client").

2. SUBJECT MATTER

The subject of this agreement is to determine the mutual rights and obligations regarding the commissioning, development, and delivery of custom software, enterprise web design, SEO, and digital marketing services ordered electronically via the SELLER's platforms.

3. SERVICE CHARACTERISTICS AND REMUNERATION

The technical specifications, milestones, timelines, and all-inclusive fees for the commissioned services are documented within the corresponding approved proposal or checkout summary.

4. PAYMENT TERMS

  • Payments must be fulfilled via credit card, wire transfer, or certified international payment rails.
  • Late payments may result in an equivalent extension of delivery milestones. The SELLER reserves the right to suspend operations upon delinquency.
  • International banking intermediary fees are the sole responsibility of the BUYER.

5. DELIVERY AND ACCEPTANCE

  • Deliverables are fulfilled digitally via private Git repositories, staging environments, or production deployments.

6. RIGHT OF WITHDRAWAL EXCEPTIONS

In accordance with statutory electronic commerce regulations, contracts concerning bespoke software and customized digital assets tailored to the specific operational demands of the BUYER are exempt from statutory withdrawal rights once engineering has commenced.

7. INTELLECTUAL PROPERTY RIGHTS

Upon full settlement of agreed contract fees, full ownership of custom-developed codebase and unique visual assets transfers to the BUYER. Proprietary core scaffolds and third-party open-source components retain their respective foundational licenses.

8. FORCE MAJEURE

Neither party shall be liable for delays caused by circumstances beyond reasonable control, including natural catastrophes, widespread grid failures, armed conflicts, or major internet exchange disruptions.

9. JURISDICTION AND DISPUTE RESOLUTION

Any disputes arising under this agreement shall be submitted to the competent commercial courts and arbitration tribunals having jurisdiction over the registered address of the SELLER.
